1. Acceptance of Terms
By accessing or using any services provided by PINNACLE SMART INC ("Company", "we", "us", or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
2. Services
PINNACLE SMART INC provides enterprise technology services including, but not limited to:
- Trading platform development and support
- Wallet and transaction operation systems
- Back-office and administrative system development
- Reporting, monitoring, and analytics platforms
The scope, deliverables, timelines, and pricing of specific services are defined in individual service agreements or statements of work entered into between the Company and the client.
3. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information necessary for service delivery
- Ensuring timely review and feedback during project execution
- Complying with all applicable laws and regulations in their jurisdiction
- Maintaining the confidentiality of any access credentials provided
4. Intellectual Property
Unless otherwise specified in a written agreement, all intellectual property rights in deliverables created by PINNACLE SMART INC remain with the Company until full payment is received, at which point ownership transfers to the client as agreed. Pre-existing tools, frameworks, and proprietary methodologies used in delivery remain the property of PINNACLE SMART INC at all times.
5. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of engagement. This obligation survives the termination of any service agreement. Neither party shall disclose the other's confidential information to third parties without prior written consent.
6. Payment Terms
Payment terms are specified in individual service agreements. Unless otherwise agreed:
- Invoices are due within 30 days of issuance
- Late payments may incur interest at 1.5% per month
- The Company reserves the right to suspend services for overdue accounts
7. Limitation of Liability
To the maximum extent permitted by applicable law, PINNACLE SMART INC shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability for any claim shall not exceed the total fees paid by the client in the three months preceding the claim.
8. Termination
Either party may terminate a service engagement with written notice as specified in the applicable service agreement. Upon termination, the client shall pay for all services rendered up to the termination date. Provisions relating to confidentiality, intellectual property, and limitation of liability survive termination.
9. Governing Law
These Terms and Conditions are governed by the laws of the State of Wyoming, United States. Any disputes arising under these terms shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration in Casper, Wyoming.
10. Changes to Terms
We reserve the right to update these Terms and Conditions at any time. Material changes will be communicated to active clients via email. Continued use of our services after such changes constitutes acceptance of the updated terms.
